Terms and Conditions of Use

1. Purpose

These Terms and Conditions of Use govern the access and use of IntellIA's website (hereinafter, the "Site") and the software platforms and services that IntellIA makes available to its customers and users (hereinafter, collectively, the "Services").

The use of the Site or Services implies full acceptance of these Terms and Conditions. If the User does not agree with them, they must refrain from using the Site and Services.

2. Identity of the Holder

Specific commercial contracts will detail, when applicable, the complete legal name, tax ID, and legal address.

3. Services

IntellIA develops and operates primarily:

  • Artificial intelligence-based software platforms, including:
    • VivIAM: AI platform applied to the healthcare field.
    • fAIcing: computer vision solution for retail and mass consumption.
  • Development of custom AI solutions for organizations.
  • Professional and consulting services in artificial intelligence and associated technologies.

The specific details of functionalities, scope, and service level agreements (SLA) are established in the proposals and specific contracts signed with each customer.

4. Use of the Site and Services

The User agrees to use the Site and Services in accordance with:

  • applicable regulations,
  • these Terms and Conditions,
  • good faith and generally accepted practices.

In particular, the User agrees not to use the Site or Services for:

  • illegal activities or those contrary to public order,
  • infringing third-party rights (including intellectual property or data protection rights),
  • introducing or spreading computer viruses or any type of malicious code that could damage systems, data, or infrastructure,
  • attempting unauthorized access to accounts, systems, or networks of IntellIA or third parties.

When access to certain functionalities requires credentials (username and password or other authentication mechanisms), the User will be responsible for:

  • maintaining the confidentiality of their credentials,
  • limiting access to their devices,
  • notifying IntellIA of any unauthorized use or security incident they detect.

5. Commercial Conditions

The economic conditions of the Services (price, payment method, duration, renewals, etc.) will be established in:

  • specific commercial proposals,
  • service provision contracts,
  • purchase orders or other equivalent documents.

In general, IntellIA usually agrees to:

  • prices expressed in US dollars (USD) for projects and software subscriptions,
  • scope and deliverables defined in writing before the start of service.

In case of contradiction between these Terms and Conditions and a specific contract, the provisions of the specific contract will prevail.

6. Intellectual Property

Unless expressly indicated otherwise:

  • The Site, its design, texts, images, logos, trademarks, trade names, source codes, and other elements that comprise it are owned by IntellIA or third parties who have authorized their use.
  • The technologies, models, architectures, technical documentation, and other software assets developed by IntellIA in the course of its activity are the property of IntellIA, regardless of the rights that are contractually assigned or licensed to customers.

The User agrees to:

  • not reproduce, distribute, publicly communicate, transform, or exploit in any way the content or technologies of IntellIA, unless expressly authorized,
  • respect the trademarks and distinctive signs of IntellIA and third parties displayed on the Site and in the Services.

Customer contracts may establish specific conditions regarding:

  • ownership of models trained for a specific use case,
  • licensing of reusable IntellIA components,
  • use of trademarks and commercial references.

7. User-Provided Content

When Users provide information, data, documents, or content through the Site or Services:

  • they guarantee they have the right to use and share such content,
  • they commit that it does not violate third-party rights or applicable regulations,
  • they authorize IntellIA to use it to the extent necessary to provide the contracted Services and comply with applicable legal obligations.

When content includes personal data, its processing will be governed by the Privacy Policy.

8. Limitation of Liability

To the extent permitted by applicable regulations:

  • IntellIA does not guarantee the uninterrupted availability of the Site or Services, and there may be interruptions due to maintenance tasks, technical incidents, or other internal or external causes.

IntellIA will not be liable for:

  • damages arising from improper use of the Site or Services by the User,
  • decisions made by the User exclusively based on results or recommendations generated by AI systems, without professional intervention or validation when appropriate,
  • indirect damages, loss of profits, or loss of business opportunities.

For platforms oriented to regulated sectors (e.g., healthcare), the information and results that AI tools may provide are of a support and assistance nature, and do not replace:

  • clinical judgment,
  • professional judgment,
  • nor the final decisions that must be made by qualified individuals.

Specific liability limits for customers are detailed in the corresponding contracts.

9. Links to Third-Party Sites

The Site may contain links to third-party websites. The presence of these links does not imply:

  • endorsement,
  • guarantee,
  • nor any responsibility of IntellIA for the content, services, or policies of such sites.

Access to third-party sites is under the sole responsibility of the User.

10. Modifications to Terms and Site

IntellIA may update, modify, or remove content, functionalities, and/or the presentation of the Site, as well as these Terms and Conditions, when deemed appropriate.

Updated versions of the Terms and Conditions will be published on the Site, indicating the date of the last update. Continued use of the Site or Services after such modifications implies acceptance of the new version.

11. Applicable Law and Jurisdiction

These Terms and Conditions are governed by the laws of the Oriental Republic of Uruguay.

For any dispute arising from access to or use of the Site or Services that cannot be resolved amicably, the ordinary courts of the Oriental Republic of Uruguay will have jurisdiction.
